End User Licence Agreement

1. Agreement. This End User Licence Agreement ("EULA") is a legal agreement between you and Selah AI Consulting Ltd ("InspectPro", "we", "us") for your use of the InspectPro Solo application ("the app"). By downloading, installing, or using the app, you agree to this EULA. If you do not agree, do not use the app. This EULA should be read together with our Terms of Use, Privacy Policy, and Billing Policy.

2. Consumer rights. Nothing in this EULA excludes, restricts, or modifies any right or remedy you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded by law. If you are a consumer, you have statutory guarantees that the app will be of acceptable quality and fit for its purpose. If you acquire the app in trade, you agree those guarantees do not apply to the maximum extent permitted by law. For users in Australia, nothing in this EULA excludes any rights under the Australian Consumer Law that cannot be lawfully excluded.

3. Licence grant. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the app on devices you own or control, for the duration of your active subscription. The app is a single-user product for solo inspectors. There is no account: you use the app directly, and your subscription is managed through your device's app store. A store-managed introductory free trial may be available; trial and billing terms are set out in our Billing Policy.

4. Restrictions. You may not: copy, modify, distribute, sell, or lease any part of the app; reverse engineer, decompile, or disassemble it except as the law permits; sublicense, rent, or lend it; use it for any unlawful purpose; remove proprietary notices; or circumvent subscription or access controls.

5. Intellectual property. The app and all its content, features, code, design, and trademarks are owned by or licensed to Selah AI Consulting Ltd and are protected by New Zealand and international law. This EULA grants you a licence to use the app only and transfers no ownership.

6. Your data and local storage. You retain full ownership of the content you create. Inspection content is stored locally on your device as the only copy held within InspectPro Solo. You are responsible for maintaining your own backups (an in-app ZIP backup is available via Settings, Data Management, and we recommend your device's own backups too). The app does not sync your content to any server, and we do not access it.

7. Subscription and payment. Subscription, trial, renewal, cancellation, and refund terms are set out in our Billing Policy. All payments are handled by the Apple App Store or Google Play; we do not process or store payment information.

8. Warranties. We will provide the app with reasonable care and skill. To the extent permitted by the Consumer Guarantees Act and applicable law, we do not warrant that the app will meet all of your requirements or be uninterrupted or error-free. For consumers, the CGA implies guarantees that cannot be excluded (see section 2).

9. Limitation of liability. If you are a consumer under the CGA, our liability for failing to meet a consumer guarantee is governed by the CGA and is not excluded. If you acquire the app in trade and the CGA is excluded, our total aggregate liability for all claims under this EULA will not exceed the fees you paid in the 12 months before the claim, or NZD 500 dollars, whichever is greater, and we exclude liability for indirect, consequential, special, or punitive damages including loss of profits, data, or goodwill. Nothing excludes liability for death or personal injury caused by our negligence, or for fraud.

10. Indemnification. You agree to indemnify and hold harmless Selah AI Consulting Ltd and its officers, directors, and employees from third-party claims arising from your material breach of this EULA, your violation of any law, or content you create or share that infringes a third party's rights. This does not apply to claims arising from our own negligence or breach.

11. Termination. We may terminate this EULA and your access if you materially breach it and do not remedy the breach within 14 days of written notice, or immediately where the breach cannot be remedied or the law requires it. You may terminate at any time by uninstalling the app and cancelling your subscription through your store. On termination, your right to use the app ends; your locally stored data remains on your device.

12. Updates and changes. We may update the app from time to time. We may update this EULA; if we make material changes we will notify you in the app before they take effect, and continued use constitutes acceptance.

13. Apple App Store Additional Terms. The following apply where you obtained the app through Apple's App Store. (a) This EULA is between you and InspectPro only, not Apple; InspectPro, not Apple, is solely responsible for the app and its content. (b) The licence is limited to use on Apple-branded products you own or control, as permitted by the App Store Terms. (c) Apple has no obligation to provide maintenance or support for the app. (d) To the maximum extent permitted by law, Apple has no warranty obligation; if the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); otherwise Apple has no warranty obligation. (e) InspectPro, not Apple, is responsible for addressing any claims relating to the app, including product liability, failure to conform to legal or regulatory requirements, and claims under consumer protection or privacy law. (f) InspectPro, not Apple, is responsible for any third-party claim that the app infringes intellectual property rights. (g) Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you. (h) You must comply with applicable third-party terms when using the app.

14. Governing law. This EULA is governed by the laws of New Zealand, and you submit to the exclusive jurisdiction of the New Zealand courts. If informal resolution fails, claims within the jurisdiction of the New Zealand Disputes Tribunal may be referred there; other claims go to the New Zealand courts.

15. General. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in force. A failure to enforce a right is not a waiver. You may not assign this EULA without our consent; we may assign ours. This EULA, with our Terms of Use, Privacy Policy, and Billing Policy, is the entire agreement about the app.
