InspectPro Premise End User License Agreement (EULA)

Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and Selah AI Consulting Ltd (“we”, “our”, “us”), the developer of the InspectPro Premise mobile application (“the App”).

By downloading, installing, or using the App, you agree to be bound by the terms of this EULA. If you do not agree, do not use the App.

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on a compatible device that you own or control, or that is provided to you by your organisation for this purpose, in accordance with this EULA.

Where your organisation has licensed or deployed the App to you, your use is also governed by the agreement between that organisation and us (the “Corporate Agreement”), which prevails over this EULA to the extent of any conflict in respect of organisation-deployed use. Your organisation is responsible for managing its deployment of the App.

If you obtained the App through the Apple App Store, your installation and use are additionally subject to the Usage Rules set out in the Apple Media Services Terms and Conditions.

Restrictions

You may NOT:

Copy, modify, distribute, sell, or lease any part of the App
Reverse engineer, decompile, or disassemble the App
Sublicense, rent, or lend the App to third parties
Use the App for any unlawful purpose
Remove or alter any proprietary notices or labels on the App

Intellectual Property

The App, including all content, features, and functionality (code, design, graphics, logos), is owned by Selah AI Consulting Ltd and protected by intellectual property laws. This EULA does not grant you any rights to our trademarks or branding.

User-Generated Content

As between you and us, you retain ownership of the content you create using the App, including photos, inspection notes, and reports. Where the App is deployed to you by an organisation, ownership of that content as between you and your organisation is governed by your arrangement with them
User content is stored locally on your device and synced to your organisation’s backend, which your organisation operates and controls
InspectPro does not access, collect, or claim any rights to your content

Cost

The App is provided free of charge. All features are available without payment.

Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The App will be error-free or uninterrupted
Results obtained from the App will be accurate or reliable
Defects in the App will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SELAH AI CONSULTING LTD OR ITS DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

Our total aggregate liability shall not exceed one hundred New Zealand dollars (NZD $100).

Nothing in this EULA limits or excludes any guarantee, right, or remedy you may have under the Consumer Guarantees Act 1993 (NZ), the Fair Trading Act 1986 (NZ), the Australian Consumer Law, or any other law, to the extent it cannot lawfully be excluded. Where you acquire the App for the purposes of a business, you and Selah AI Consulting Ltd agree (to the extent permitted by section 43 of the Consumer Guarantees Act 1993 and section 5D of the Fair Trading Act 1986) that those Acts do not apply. The disclaimers and limits above apply only to the extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Selah AI Consulting Ltd and its developers from any claims, liabilities, damages, losses, or expenses arising from your use of the App or violation of this EULA.

Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

Governing Law

This EULA shall be governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles.

Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Apple-Specific Terms

The following terms apply only if you obtained the App through the Apple App Store. They do not apply to copies of the App that your organisation distributes or deploys to you through other channels (for example, mobile device management or enterprise distribution).

You acknowledge and agree that:

This EULA is between you and Selah AI Consulting Ltd only, and not with Apple Inc. (“Apple”). Selah AI Consulting Ltd, not Apple, is solely responsible for the App and its content.
Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

Entire Agreement

This EULA, together with our Terms of Use and Privacy Policy, constitutes the entire agreement between you and us regarding the App and supersedes all prior agreements.
