InspectPro Premise Terms of Use

1. Agreement to Terms

InspectPro Premise (“the App”) is developed and provided by Selah AI Consulting Ltd (“we”, “our”, “us”). By downloading, installing, or using the App, you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree to these Terms, do not use the App.

You will be asked to explicitly accept these Terms on first launch before you can use the App. Your acceptance is recorded locally on your device along with a timestamp, the App version, and the Terms version. If we update these Terms, you will be asked to re-accept the updated version before continuing to use the App.

2. Description of Service

InspectPro Premise is a mobile application designed to assist property inspection professionals with creating inspection reports, documenting findings with photos, and generating PDF reports.

InspectPro Premise is an assistive tool only. The App does not provide professional advice, certifications, or guarantees of any kind. It does not replace the professional judgment, expertise, qualifications, or licensing of the user.

3. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or professional use, subject to these Terms.

Organisation deployments. Where the App has been provided to you by an organisation (for example, your employer), your use is also governed by the agreement between that organisation and us (the “Corporate Agreement”). To the extent the Corporate Agreement and these Terms conflict in respect of organisation-deployed use, the Corporate Agreement prevails. Your organisation is responsible for its deployment of the App, including the backend it operates (see our Privacy Policy).

You may NOT:

• Copy, modify, or distribute the App
• Reverse engineer or attempt to extract the source code
• Use the App for any illegal purpose
• Sublicense, sell, or transfer your rights to the App
• Remove, alter, or obscure any disclaimer or status indicator displayed by the App

4. Cost

The App is provided free of charge. All features are available without payment.

5. User Content

5.1 Your Content

• As between you and us, you retain ownership of the content you create using the App (photos, notes, reports). Where you create content in the course of work for an organisation, ownership of that content as between you and your organisation is governed by your arrangement with that organisation, not by these Terms
• You are solely responsible for all content you create and share
• You represent that you have all necessary rights to use and share your content

5.2 Content Storage

• Your content is stored locally on your device and synced to your organisation’s backend, which your organisation operates and controls
• InspectPro does not have access to your content and operates no servers that store it
• Backup, retention, and security of content held on your organisation’s backend are governed by your organisation

5.3 Content Accuracy

• You are solely responsible for the accuracy, completeness, and legality of all information in your inspection reports
• The App does not verify, validate, or certify any content you enter
• Any photos, severity ratings, comments, or findings reflect your professional assessment alone — not the opinion or endorsement of InspectPro Premise

6. Report Status

6.1 Report States

Reports created in the App may exist in the following states:

• Draft: The report is a work in progress and has not been finalised. Draft reports are clearly marked “DRAFT REPORT — NOT FINAL” and should not be relied upon or distributed to clients.
• Approved: The inspector has reviewed and explicitly approved the report for client delivery. Approved reports include audit metadata (see Section 6.3).

6.2 Sending Reports

• If you attempt to send a report that is still in Draft status, you will be asked to explicitly confirm that you intend to send an unfinished report.
• Approved reports may be sent without additional confirmation.
• You acknowledge that you are solely responsible for ensuring a report is accurate and complete before sharing it with any third party.

6.3 Audit Trail and Report Metadata

Each report contains embedded metadata including a unique Report ID, inspection date, version number, and a content snapshot hash. When a report is approved, the approver’s name, approval timestamp, and approval method are also recorded. This metadata is displayed in the PDF footer for traceability. No precise GPS coordinates are stored or embedded — only the property address and area descriptions you provide.

7. Acceptable Use

You agree NOT to use the App to:

• Create false, misleading, or fraudulent inspection reports
• Misrepresent a Draft report as a finalised professional document
• Remove, obscure, or alter any disclaimer or status indicator
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful code or interfere with the App’s operation

8. Professional Responsibility and No-Reliance Disclaimer

• The App is an assistive tool only. It is designed to help you document and organise your inspection findings. It does not perform inspections, analyse building conditions, or make professional recommendations.
• The App does not replace professional judgment or expertise. You must independently verify all findings, apply your professional training, and comply with all applicable licensing requirements, building codes, and industry standards.
• You are solely responsible for the accuracy, completeness, and professional quality of your inspection reports and for ensuring they meet all applicable professional standards and legal requirements.
• We do not guarantee outcomes. Use of the App does not guarantee that your reports will satisfy any particular client, regulatory body, insurer, court, or other third party.
• Reports are visual inspections only unless you explicitly note otherwise. The App’s default report templates state that inspections are visual only and do not include invasive testing.
• No employer-employee or agency relationship is created between you and us by your use of the App.

9. PDF Report Disclaimers

Every PDF report generated by the App includes a disclaimer stating:

“This report is intended solely for the use of the client named herein. This is a visual inspection only and does not include invasive testing unless specifically noted. The findings represent the inspector’s professional opinion based on conditions observed at the time of inspection. InspectPro Premise is a documentation tool and does not certify, endorse, or guarantee any findings contained in this report.”

This disclaimer is embedded in the report content for both preview and export. You agree not to remove, alter, or obscure this disclaimer from any report you generate or share.

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS
• PROFESSIONAL ADEQUACY OR REGULATORY COMPLIANCE

We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• Results obtained from using the App will be accurate or reliable
• Reports generated by the App will satisfy any professional, regulatory, or legal standard
• Any errors in the App will be corrected

You use the App entirely at your own risk. No information or advice, whether oral or written, obtained from us shall create any warranty not expressly stated in these Terms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SELAH AI CONSULTING LTD, ITS DEVELOPERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Any damages arising from your use or inability to use the App
• Any claim by a third party arising from a report you created, shared, or relied upon
• Any loss or damage resulting from reliance on reports generated by the App
• Any professional liability, regulatory penalty, or legal consequence arising from your inspection work

Our total liability shall not exceed one hundred New Zealand dollars (NZD $100).

11.1 Consumer Law Rights

Nothing in these Terms (including Sections 10 and 11) limits or excludes any guarantee, right, or remedy you may have under the Consumer Guarantees Act 1993 (NZ), the Fair Trading Act 1986 (NZ), the Australian Consumer Law, or any other law, to the extent it cannot lawfully be excluded.

To the extent the Australian Consumer Law applies and permits, our liability for a failure to comply with a consumer guarantee is limited, at our option, to re-supplying the App or paying the cost of having it re-supplied.

Where you acquire the App for the purposes of a business, you and Selah AI Consulting Ltd agree — to the extent permitted by section 43 of the Consumer Guarantees Act 1993 and section 5D of the Fair Trading Act 1986 — that those Acts do not apply. The exclusions and limits in Sections 10 and 11 apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Selah AI Consulting Ltd and its developers from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or share using the App
• Any report you generate, approve, distribute, or rely upon
• Any claim by a client, property owner, insurer, or third party related to your inspection reports

13. Acceptance, Versioning, and Changes

13.1 Explicit Acceptance

You must explicitly accept these Terms before using the App. Acceptance is recorded locally on your device and includes the acceptance timestamp, App version, and Terms version.

13.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Incrementing the Terms version number
• Requiring re-acceptance of the updated Terms before you can continue using the App
• Updating the “Last Updated” date

If you do not accept updated Terms, you may stop using the App but remain bound by the version you previously accepted for any activity during that period.

14. Termination

Your licence under these Terms terminates automatically if you breach these Terms. We may also discontinue the App or stop making it available.

Where the App is deployed to you by an organisation, that organisation manages your access to the App and its deployment; we do not control access to organisation-managed deployments.

Upon termination:

• Your licence to use the App ends and you must stop using it
• Your locally stored data remains on your device until you or your organisation removes it; data held on your organisation’s backend is governed by your organisation

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles.

16. Dispute Resolution

Any dispute arising from these Terms or your use of the App will be resolved as follows:

1. Good faith negotiation between the parties.
2. If negotiation does not resolve the dispute within a reasonable time, the parties will attempt to resolve it by mediation before commencing court proceedings.

Nothing in this section prevents either party from seeking urgent interim relief from a court, or limits any right you have under consumer protection law. The courts of New Zealand have jurisdiction over any dispute that is not resolved by negotiation or mediation.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and us regarding the use of the App.
